About These Terms
These Terms & Conditions (the "Terms") govern your use of the services provided by Teresa Borys, doing business as Himalayan Finds Media ("Himalayan Finds Media," "the Company," "we," "us," or "our"), a sole proprietorship registered in the State of Illinois, United States, located at 0N540 MA Center Dr, Unit 18, Elburn, IL 60119.
By engaging us for digital marketing services, by signing a service agreement, or by completing a payment for our services, you ("Client," "you," or "your") agree to these Terms. These Terms constitute a legally binding agreement between you and the Company. If you do not agree, do not use or pay for our services.
Services Provided
Himalayan Finds Media provides digital marketing services including, but not limited to:
- Paid advertising management (Meta Ads, Google Ads)
- Search engine optimization (SEO)
- Social media marketing and management
- Analytics implementation and reporting
- Content marketing strategy and execution
- Email marketing automation and campaign management
- Influencer marketing coordination
- Digital marketing consulting and strategy
The specific services to be delivered will be outlined in a service agreement, statement of work, or proposal provided to the Client prior to the commencement of work.
Payment Terms
Management fees are billed monthly in advance at the beginning of each billing period. All invoices are due within fifteen (15) days of the invoice date (net-15) unless a different schedule is agreed in writing. Advertising spend budgets are separate from management fees and are paid directly by the Client to the respective advertising platforms (Meta, Google, etc.) unless we have agreed in writing to manage media spend on the Client's behalf.
Late payments may incur a fee of 1.5% per month on the outstanding balance. The Company reserves the right to pause campaign management if payment is more than fifteen (15) days overdue.
Online Payments
Online payments to Himalayan Finds Media are handled by a third-party payment processor on PCI-DSS compliant infrastructure. By submitting payment, you authorize the Company and its payment processor to charge the payment method you provide for the amount of the applicable invoice or recurring subscription. Your use of the processor is also governed by that processor's own terms and privacy policy.
All fees are quoted and billed in U.S. Dollars (USD) unless otherwise stated in writing. You are responsible for any sales, use, value-added, or other taxes that apply to your purchase, except for taxes imposed on the Company's income.
For recurring subscriptions, your payment method will be automatically charged at the start of each billing period until the subscription is cancelled in accordance with our Cancellation Policy.
Chargebacks & Disputes
If you have a billing concern, please contact us at support@himalayanfindsmedia.com before initiating a chargeback or dispute with your card issuer or bank. We will work in good faith to resolve any legitimate issue promptly. Initiating a chargeback for a charge that is later determined to be valid may result in immediate suspension of services and recovery of the disputed amount plus any chargeback fees imposed by the card networks. Submitting fraudulent chargeback claims is prohibited and may be reported to the relevant authorities.
Client Responsibilities
To enable effective service delivery, the Client agrees to:
- Provide timely access to advertising accounts, analytics platforms, and any other tools required for service delivery
- Respond to requests for feedback, approvals, or information within a reasonable timeframe, generally within five (5) business days
- Ensure that all materials, brand assets, and content provided to the Company are accurate and do not infringe upon any third-party rights
- Maintain active and funded advertising accounts on the relevant platforms
- Notify the Company promptly of any changes to business operations, products, or services that may affect marketing strategy
- Comply with all applicable advertising platform policies and applicable laws and regulations
Intellectual Property
The Client retains full ownership of their brand assets, trademarks, logos, product images, and any proprietary content provided to the Company. The Company retains ownership of its proprietary strategy frameworks, methodologies, internal tools, templates, and processes developed independently of client work.
Campaign creative, ad copy, and marketing materials produced specifically for the Client as part of the engagement become the Client's property upon full payment for the services rendered.
Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of the engagement. This includes, but is not limited to, business strategies, financial data, customer data, advertising performance metrics, and trade secrets. Confidentiality obligations survive the termination of the service agreement for a period of two (2) years.
Limitation of Liability
The Company does not guarantee specific results, including but not limited to revenue targets, return on ad spend, traffic volumes, rankings, or conversion rates. Digital marketing performance is influenced by numerous external factors beyond the Company's control, including market conditions, platform algorithm changes, competitor activity, and seasonal trends.
The Company's total liability for any claims arising from or related to the services provided shall not exceed the total management fees paid by the Client to the Company in the three (3) months preceding the claim. In no event shall the Company be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost business opportunities.
Termination
Either party may terminate the service agreement by providing thirty (30) days' written notice via email. Upon termination, the Client is responsible for payment of all fees for services rendered through the effective termination date. The Company will provide a final invoice within ten (10) business days of the termination date.
The Company reserves the right to terminate the agreement immediately in the event of non-payment exceeding thirty (30) days, fraudulent activity, abusive conduct, or conduct that violates applicable advertising platform policies or law.
Refunds & Cancellation
Refunds are governed by our Refund Policy, and cancellations by our Cancellation Policy, both of which are incorporated into these Terms by reference.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Kane County, Illinois.
Changes to These Terms
We may update these Terms from time to time. The version in effect at the time you engage our services or pay an invoice will apply to that engagement. The current version is always available on this page; the "Last updated" date above reflects the most recent revision.
